A) LABEL INTENT

Atom (The ‘Label’) operates as a non-exclusive promotional entity that aims to promote artists' (The 'Artist') track (The 'Work') on Atom’s socials and platforms. The party should acknowledge that no royalties, financial consideration, or monetary compensation shall be paid to either party.

 

B) ARTIST REPRESENTATIONS

The Artist represents and warrants that (I) they own full rights to the music and materials they submit to Atom; and (II) their Work does not infringe upon third-party rights, including copyright, trademark, or privacy rights.

 

C) GRANTS OF RIGHTS 

The party (‘Artist’) hereby grants rights to a non-exclusive, worldwide, royalty-free license to Atom to (I) promote and publish the Work across Atom’s social and digital platforms; (II) use the Artist’s name, likeness, and Work’s artwork (e.g., cover art) solely for promotional purposes; and (III) create a art cover for the Artist’s Work if not available or provided (Atom must ask for prior permission from the Artist before creating any sort of cover arts associated with the Work).

 

D) LIMITATION OF LIABILITY

Atom is not responsible for (I) any loss, damage, or claim arising from the promotion of the Work, except in cases of gross negligence or willful misconduct; and (II) any monetary gain/loss, split royalties, or other paid compensation involving both parties.

 

E) ATTRIBUTION OF WORKS

Atom shall credit and attribute the Artist properly on all promotional materials. The Artist acknowledges that Atom is not liable for third-party misuse or omission of attribution.
 

F) REPRESENTATIONS/WARRANTIES

A) The Artist acknowledges and represents that (I) they are the only owner or authorized representative of the Work; (II) the Works do not infringe/conflict with any other third-party rights; and (III) Atom shall not be liable for indirect, incidental, or consequential damages involving the Artist’s Work.

 

B) Atom acknowledges and represents that (I) it will act in good faith to promote the Artist’s Work in accordance with these Terms and Conditions; and (II) it will not materially alter the Artist’s Work without the Artist’s written consent.

D) TERMINATION

Any disputes and/or controversies around the Artist's Work already promoted on Atom involving (I) another third-party claiming the Work; or (II) the Artist, shall be first subject to mediation. Otherwise, Atom may terminate any promotional material involving the Work governed under these terms & conditions on Atom with written notice to the Artist. Atom shall not be liable for any monetary loss, loss of data, or any amounts involving another third-party label before and/or after termination of the Artist's Work. The Artist may request termination with written notice to Atom via email. Atom shall comply and remove all promotional material promoted on Atom within 3 days.

H) CHANGES TO TERMS

Atom reserves the right to modify these Terms and Conditions at any time. Continued participation constitutes acceptance of any updated terms.

 

I) GOVERNING LAW

These Terms and Conditions shall be governed in accordance with the laws of California, United States of America.

 

By submitting and engaging in promotional activity with Atom, you (the ‘Artist’) acknowledge that you have read, understood, and agree to the Terms and Conditions.
